DESCRIPTION:On behalf of our member – KKG Legal\, a law firm – we are honored to invite you to the webinar titled “Decisions under pressure: how can the Business Judgment Rule protect you?”. The event will take place on 25 June 2025. The webinar will be focused on a practical use of this rule in the work of management boards and managers. \nOver the past few years\, we have observed ever greater challenges in the decision-making process that managerial personnel have to face\, in both big companies and smaller organizations. Growing time pressure\, as well as the ever-changing legal and economic environment give a new meaning to the managerial liability. \nTherefore\, how to make difficult yet responsible decisions without being paralyzed by fear of making mistakes? Is the management board at fault for every mistake? Leaders often have to act quickly and decisively in economic\, legal and social situations. But what if their decisions turn out to be bad? Is the risk transferred onto the management board exclusively? \nNo\, it is not – if the management board acted pursuant to the Business Judgment Rule. \nThe Business Judgment Rule can effectively protect management boards and managerial personnel\, even in regard to decisions which may eventually turn out to be bad. SUMMARY:Webinar: Global Minimum Tax (Top-up Tax)
DESCRIPTION:On January 1\, 2025\, the so-called “Top-up Tax” law came into effect\, introducing a new type of income taxation. This is part of the global tax reform known as “Pillar II\,” aimed at eliminating profit shifting to low-tax jurisdictions.\nNew regulations will apply to companies\, branches\, and establishments that are part of an international or domestic capital group with global annual revenues of at least EUR 750 million in at least 2 of the last 4 years. \nThree types of top-up taxes are expected to be introduced: \n– Global Top-up Tax – This will be imposed on parent entities. The obligation to pay this tax in Poland may arise if the headquarters is based in Poland\, while subsidiaries operate in jurisdictions where the effective tax rate is lower than 15%. \n– Domestic Top-up Tax – The obligation to pay this tax in Poland may arise if the effective tax rate of subsidiaries operating in Poland does not exceed 15%. \n– Undertaxed Profits Rule (UTPR) – This tax may be imposed on subsidiaries if the parent entity operates in a country that has not implemented “Pillar II” regulations. \nThe purpose of this event is to introduce participants to the concept of the Global Minimum Tax (Top-up Tax)\, which will apply to companies within large capital groups. During the webinar\, the fundamental principles of the new tax system and the obligations for taxpayers arising from its implementation will be discussed. \nThis webinar is primarily intended for individuals responsible for accounting and tax matters in companies that are part of large capital groups\, as well as for anyone interested in international tax law. \nMore information and registration here. \n

The maturity of the renewable sector calls for a debate on the life cycle of installations and waste management at the end of their technological efficiency. Our practical experience.”! \nThe Law on protection of whistleblowers is about to enter into force. Implementations are already underway in many organizations\, and companies with headquarters in other EU countries\, where laws protecting whistleblowers are already in place\, are facing particular challenges. We have also noticed a tendency to take a bit of a “shortcut” and adopt procedures sent from headquarters one-to-one.
