Selling or acquiring a company is a major transaction, and the wording of an SPA can have significant financial consequences. While negotiations often focus on representations and warranties, provisions concerning purchase-price adjustments, completion accounts, earn-outs, debt, working capital and seller-liability limitations may receive less attention—despite often becoming sources of disputes.

The session is intended for business owners and management teams considering a sale or acquisition, investors and M&A professionals, lawyers and transaction advisers, as well as CFOs and finance professionals involved in due diligence. The webinar will last approximately 45–60 minutes and includes a Q&A session. Participation is free of charge.
